Terms of Service

These Terms of Service (“Terms”) govern your use of Evenly (“the App”, “Evenly”), a Shopify app operated by Super Spicy Apps, JZ s.p. By installing or using Evenly, you agree to these Terms.

1.Who we are

Evenly is operated by Super Spicy Apps, JZ s.p., a sole proprietorship registered in Slovenia. Contact: hello@runevenly.com.

2.The service

Evenly is an inventory rebalancing app for Shopify merchants. It analyzes inventory across your Shopify locations on a schedule you set and recommends transfers to balance stock. Optionally, it can create transfer drafts directly in your Shopify admin.

Specific capabilities, plan limits, and supported features are described on our Shopify App Store listing and at runevenly.com.

3.Eligibility

You may use Evenly only if:

• You operate a Shopify store
• You are authorized to install and manage apps on that store
• You are at least 18 years old or the age of legal majority in your jurisdiction

4.Installation and access

• Install Evenly through the Shopify App Store
• Access requires a valid OAuth connection between Evenly and your Shopify store
• We don’t issue separate login credentials — your Shopify session authenticates you
• You are responsible for keeping your Shopify account secure

5.Subscription and billing

Evenly offers four plans:

• Free: limited to 50 products, 2 locations, 1 analysis per week. No charge.
• Starter: $9/month, 500 products, 3 locations, daily analyses, 14-day free trial.
• Growth: $49/month, 5,000 products, 5 locations, daily analyses, 14-day free trial.
• Plus: $99/month, unlimited products, unlimited locations, unlimited analyses, 14-day free trial.

Plan limits and prices are shown in the app and may be updated. Material changes are communicated under Section 16 (Changes to these Terms).

All billing is processed by Shopify through the appSubscription API. Charges appear on your Shopify invoice. We do not process payments directly — Shopify handles all payment, invoicing, and refunds per Shopify’s billing policies.

You can upgrade, downgrade, or cancel your subscription at any time from the Plan page inside Evenly.

6.Free trial

• Paid plans include a 14-day free trial
• You won’t be charged during the trial
• Cancel before the trial ends to avoid being charged
• After the trial, you’ll be charged the monthly fee for your selected plan

7.Cancellation and refunds

• You can cancel your subscription at any time from the Plan page
• Cancellation takes effect immediately; you keep access through the end of your current billing period
• Uninstalling Evenly from your Shopify admin also cancels your subscription
• Refunds are governed by Shopify’s billing policies. We don’t issue separate refunds; contact Shopify support for billing disputes.

8.Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from Evenly
• Use Evenly to violate any law or third-party rights
• Attempt to gain unauthorized access to other merchants’ data or to our internal systems
• Resell, sublicense, or rent access to Evenly
• Submit malicious code, exploit vulnerabilities, or interfere with the service
• Use automated scripts to abuse Shopify’s API limits through the app

9.Service availability

• We aim for high availability but do not guarantee uninterrupted service
• Scheduled maintenance, third-party outages (Shopify, hosting providers, etc.), or critical security fixes may cause downtime
• We do not currently offer a formal Service Level Agreement (SLA)
• We are not liable for missed analyses or recommendations caused by service downtime

10.Intellectual property

• Evenly’s code, design, branding, and documentation are owned by Super Spicy Apps, JZ s.p.
• Your inventory data, settings, and analysis results remain yours
• You grant us a limited, non-exclusive license to process your data solely to provide the service
• This license terminates when you uninstall Evenly (subject to the data retention timelines in our Privacy Policy)

11.Data and privacy

Our data practices are described in our Privacy Policy. Key points:

• We do not access customer data, order data, or payment data
• We honor Shopify’s mandatory GDPR webhooks
• We delete all shop data within 30 days of uninstall

12.Disclaimer of warranties

Evenly is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Evenly will:

• Be error-free or uninterrupted
• Meet your specific business requirements
• Produce recommendations that lead to specific business outcomes

We are not responsible for inventory decisions you make based on Evenly’s recommendations.

13.Limitation of liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost sales, lost data, or business interruption
• Our total aggregate liability for any claim arising from or related to these Terms or your use of Evenly is limited to the greater of (a) the amount you paid for Evenly in the 12 months preceding the claim, or (b) USD 100

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

14.Indemnification

You agree to indemnify, defend, and hold harmless Super Spicy Apps, JZ s.p. and its principals from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of Evenly
• Your violation of these Terms
• Your violation of any law or third-party rights
• Inventory or business decisions you make based on Evenly’s recommendations

15.Termination

• We may suspend or terminate your access to Evenly if you violate these Terms, abuse the service, or use it in ways that harm us or other merchants
• You may terminate at any time by uninstalling Evenly from your Shopify admin
• Termination does not relieve obligations that by their nature survive — including outstanding payments, intellectual property, disclaimers, limitations of liability, and indemnification
• Data deletion timelines after termination are described in our Privacy Policy

16.Changes to these Terms

• We may update these Terms from time to time
• The “Last updated” date at the top of this page reflects the most recent change
• Material changes will be communicated to active merchants by email at least 30 days before they take effect
• Continued use of Evenly after changes take effect means you accept the updated Terms

17.Governing law and jurisdiction

• These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict-of-law principles
• Any dispute arising from or related to these Terms is subject to the exclusive jurisdiction of the competent courts of Ljubljana, Slovenia
• This does not affect mandatory consumer protection rights you may have under the law of your country of residence, where applicable

18.Severability and entire agreement

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Evenly, and supersede any prior agreements
